Terms of Service

NILify is a product of Nilify LLC ("NILify", "we", "us"). By creating a NILify account or using nilify.ai you agree to these Terms of Service. If you do not agree, do not use NILify.

1. Eligibility

NILify is built for student-athletes, parents/guardians, and recruiting workflows. Athletes under 13 require a parent or guardian to create and own the account. Athletes 13–17 require parental approval before their athlete page becomes public.

2. Your account

You're responsible for the accuracy of information you provide and for keeping your login credentials secure. Don't share, sell, or transfer your account.

3. Athlete pages and user content

You retain ownership of content you upload (photos, film links, bios, stats). By posting to NILify you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, display, adapt, and distribute that content as needed to operate and promote the service (including in previews, search results, and aggregated views). You represent that you have the rights to everything you upload.

4. Intellectual property

The NILify platform, brand, software, and aggregate data are owned by NILify and its licensors. You may not copy, reverse engineer, scrape, resell, or create derivative products from NILify without written permission.

5. Subscriptions & billing

Paid plans are governed by our Subscription Terms and Refund Policy. Subscriptions auto-renew unless cancelled before the renewal date.

6. Acceptable use

You agree to follow our Acceptable Use Policy and Community Guidelines. We may remove content and suspend or terminate accounts that violate them.

7. SMS messaging (Twilio)

Users opt in to receive SMS messages from NILify by entering their phone number during account signup on https://nilify.ai and agreeing to receive text messages for account verification, onboarding, and athlete profile notifications. For users under 18, a parent or guardian may also provide their phone number to receive a one-time approval text message before the athlete's profile becomes public.

Users may also opt in by requesting login codes or account notifications through NILify web forms and athlete profile workflows. Message frequency varies based on account activity. Message and data rates may apply. Users can reply STOP to unsubscribe at any time, or HELP for help.

Mobile opt-in data and consent will not be shared with third parties or affiliates for marketing or promotional purposes. SMS is delivered via Twilio on our behalf solely to operate the service.

8. AI features

NILify uses AI to assist with profile writing, coach outreach, and recommendations. AI output may be wrong or incomplete. See AI Disclosure.

9. No recruiting or scholarship guarantees

NILify does not guarantee college offers, scholarships, roster spots, NIL deals, endorsements, recruiting rankings, admissions acceptance, or coach responses. All recruiting and admissions decisions are made solely by colleges and coaches. See Disclaimers.

10. Termination

We may suspend or terminate accounts that violate these terms. You may delete your account at any time from your dashboard or via Data Deletion.

11. Disclaimers

NILify is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, NILify and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for any claim relating to NILify will not exceed the greater of (a) US $100 or (b) the amount you paid us in the 12 months before the claim.

13. Indemnification

You agree to defend and indemnify NILify against claims arising from content you post, your use of the service, or your violation of these terms.

14. Arbitration and class-action waiver

Any dispute between you and NILify will be resolved by binding individual arbitration administered by JAMS under its Streamlined Rules, in the state of Delaware (or your county if required by law). You and NILify each waive the right to a jury trial and to participate in a class action. You may opt out of arbitration by emailing hello@nilify.ai within 30 days of creating your account.

15. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

16. Changes

We may update these terms. Material changes will be communicated via email or in-app notice. Continued use after the effective date means you accept the updated terms.
