NILify Parent/Guardian Consent Agreement

Effective Date: 2026-06-06.2

This Parent/Guardian Consent Agreement ("Agreement") is entered into between NILify, Inc. ("NILify") and the undersigned parent or legal guardian ("Parent") of the minor athlete identified below ("Athlete").

This Agreement incorporates by reference the following NILify policies, each of which the Parent acknowledges having reviewed:
  • Terms of Service
  • Privacy Policy
  • Earnings & Tax Disclosure
  • NIL Compliance Disclaimer
  • Electronic Signature Consent

1. Parent Authorization

I certify that:
  • I am the parent or legal guardian of the Athlete.
  • The Athlete is under eighteen (18) years of age.
  • I have authority to enter into this Agreement on behalf of the Athlete.
  • I consent to the Athlete's use of the NILify platform.

2. Permission to Use NILify

I authorize the Athlete to:
  • Create a NILify account.
  • Create and publish an athlete profile.
  • Upload photos, videos, and content.
  • Create merchandise for sale.
  • Participate in NIL opportunities available through NILify.
  • Receive lawful compensation related to the Athlete's name, image, and likeness.

3. Parent Responsibility

I understand that:
  • NILify is a technology platform.
  • NILify is not the Athlete's employer.
  • NILify is not a sports agent.
  • NILify is not a recruiting service.
  • NILify is not a law firm.
  • NILify is not a financial advisor.
  • NILify is not a tax advisor.

I am responsible for reviewing opportunities and determining whether participation is appropriate for my child.

4. No Guarantee of Earnings

I acknowledge that NILify does not guarantee:
  • NIL deals
  • Sponsorship opportunities
  • Recruiting opportunities
  • Scholarship offers
  • College admissions
  • Athletic scholarships
  • Social media growth
  • Merchandise sales
  • Earnings of any kind

Past results do not guarantee future results.

5. Recruiting Disclaimer

I understand that:
  • NILify does not guarantee recruitment.
  • NILify does not guarantee college offers.
  • NILify does not influence coaches, schools, conferences, athletic departments, or recruiting decisions.
  • NILify cannot promise exposure, rankings, playing time, scholarships, roster spots, or recruiting outcomes.

6. Merchandise and Store Sales

I understand that:
  • Athlete merchandise is sold through third-party fulfillment partners.
  • Product quality, shipping times, taxes, and fulfillment may involve third-party providers.
  • NILify may deduct platform fees, processing fees, and fulfillment costs before earnings are distributed.

7. Payments and Taxes (Earnings & Tax Disclosure)

I acknowledge that:
  • Earnings may be taxable.
  • NILify does not provide tax advice.
  • I am responsible for reporting income when required by law.
  • NILify may issue tax forms as required by law.
  • Payment processors may require identity verification.

8. School, State, NCAA, CIF, and Conference Rules (NIL Compliance Disclaimer)

I understand that:
  • NIL laws vary by state.
  • School policies may vary.
  • Athletic association rules may vary.
  • College eligibility rules may change.

I am responsible for ensuring the Athlete complies with applicable rules. NILify does not guarantee eligibility compliance. Some states (currently including Alabama, Hawaii, Indiana, Mississippi, and Wyoming) restrict or prohibit high school NIL activity, and Texas applies additional UIL restrictions; merchandise and payouts may be disabled in those jurisdictions.

9. Assumption of Risk

I understand that participation in NIL activities may involve risks including:
  • Public exposure
  • Online criticism
  • Sponsorship disputes
  • Tax obligations
  • Contract disputes
  • Changes in athletic eligibility rules

I voluntarily assume these risks.

10. Release of Liability

To the fullest extent permitted by law, I release and hold harmless NILify, its owners, officers, employees, contractors, affiliates, partners, licensors, and service providers from claims arising out of:
  • Athlete participation on the platform
  • NIL opportunities
  • Merchandise sales
  • Recruiting outcomes
  • Earnings outcomes
  • Sponsorship outcomes
  • Third-party actions
  • User-generated content

11. Limitation of Liability

To the fullest extent permitted by law:
  • NILify shall not be liable for any indirect, incidental, special, consequential, punitive, or lost-profit damages.
  • NILify's total liability shall not exceed the amount paid by the Parent or Athlete to NILify during the previous twelve (12) months.

12. Indemnification

I agree to defend, indemnify, and hold harmless NILify from claims arising from:
  • My child's actions.
  • Content uploaded by my child.
  • Violations of laws or regulations.
  • Violations of school, conference, CIF, NCAA, or athletic association rules.
  • Intellectual property violations caused by uploaded content (including unauthorized use of school, college, CIF, NCAA, NFL, or other third-party logos, mascots, or uniforms).

13. Content Ownership

The Athlete retains ownership of original content uploaded to NILify. I grant NILify a worldwide, non-exclusive license to display, host, distribute, and promote Athlete content for operation of the platform.

14. Electronic Signature Consent

I agree that:
  • Electronic signatures are legally binding.
  • Electronic records may be stored by NILify.
  • NILify may retain records for compliance and legal purposes.

15. Arbitration Agreement

Any dispute arising from this Agreement shall be resolved through binding arbitration on an individual basis. Class actions, class arbitrations, and representative actions are waived to the fullest extent permitted by law.

16. Governing Law

This Agreement shall be governed by the laws of the State of California without regard to conflict-of-law principles.

Parent Certification

I certify under penalty of perjury that:
  • I am the Athlete's parent or legal guardian.
  • The information provided is accurate.
  • I have read and understand this Agreement.
  • I consent to the Athlete's participation on NILify.

Parent and Athlete information (name, email, phone, relationship, athlete name, athlete date of birth, signature, and date) are collected on the signing screen and stored with this record.
